About Us

ValuraTech Ltd is a technology company registered in the Federal Republic of Nigeria. These Terms apply to all digital products, platforms, applications, software systems, APIs, websites, and related services operated, owned, licensed, or managed by ValuraTech Ltd.

• “you” or “your” refers to any user, visitor, customer, organization, or entity accessing the Services.
• “Platform” refers to any Valura website, application, dashboard, portal, software product, API, or digital infrastructure.

Scope of Services

Valura delivers technology services across product development, infrastructure, and intelligent digital operations. Depending on your use case, our Services may include:

• software platforms and applications;
• intelligent systems and workflow tools;
• APIs and developer services;
• enterprise and SaaS solutions;
• digital marketplaces;
• data processing and analytics tools;
• educational, informational, and support content; and
• related technology services.

Some Services may have additional product-specific terms, policies, or agreements that supplement these Terms.

Eligibility

You must:

• be at least 18 years old; or
• have legal authority to act on behalf of an organization using the Services.

By using the Services, you confirm that:

Accounts and Registration

We reserve the right to investigate violations and cooperate with law enforcement where required.

Intellectual Property

All intellectual property rights in the Services, including software, code, designs, interfaces, trademarks, logos, branding, technical systems, graphics, documentation, and content are owned by or licensed to Valura unless otherwise stated.

You may not reproduce, distribute, modify, sell, sublicense, or commercially exploit any part of the Services without prior written permission.

Limited, revocable, non-transferable access is granted solely for lawful use of the Services.

User Content

You may submit or upload content through certain Services (“User Content”).

You retain ownership of your User Content, but you grant Valura a worldwide, non-exclusive, royalty-free license to host, process, store, reproduce, and display such content for the purpose of operating and improving the Services.

You are solely responsible for ensuring that your User Content:

• is lawful;
• does not infringe third-party rights; and
• complies with these Terms.

We may remove content that violates our policies or applicable laws.

Payments and Subscriptions

Some Services may require payment, subscription fees, or usage-based billing.

Where applicable:

• pricing will be displayed before purchase;
• payments may be processed through third-party payment providers;
• subscription fees may renew automatically unless canceled; and
• taxes may apply depending on jurisdiction.

Failure to make payment may result in suspension or termination of access.

Refunds are subject to applicable refund policies or product-specific terms.

Third-Party Services

The Services may integrate with or link to third-party platforms, APIs, software, or websites. Valura is not responsible for third-party content, external systems, payment providers, integrations, or services not controlled by us.

Your use of third-party services may be subject to separate terms and policies.

System Outputs and User Responsibility

Certain Services may generate recommendations, classifications, or other system-driven outputs.

You acknowledge that:

• system-generated outputs may contain inaccuracies;
• outputs should be independently reviewed where appropriate;
• service logic and models may evolve over time; and
• Valura does not guarantee the accuracy, completeness, or suitability of generated content for all purposes.

You remain responsible for decisions made using system-generated outputs.

Privacy and Data Protection

Our collection and use of personal data are governed by our Privacy Policy, last reviewed on 18 May 2026.

By using the Services, you acknowledge that data may be processed for:

• service delivery;
• analytics;
• security;
• system improvement; and
• legal compliance.

We implement reasonable technical and organizational safeguards but cannot guarantee absolute security.

Availability and Modifications

We may update, modify, discontinue, suspend, or restrict any portion of the Services at any time.

We do not guarantee uninterrupted or error-free operation.

We may also revise these Terms periodically. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Material changes will carry a revised "Last Updated" date and, where appropriate, an announced effective date on this page.

Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Valura disclaims warranties of:

• merchantability;
• fitness for a particular purpose;
• non-infringement; and
• uninterrupted availability.

We do not guarantee that the Services will always be secure, defect-free, or fully reliable.

Limitation of Liability

To the fullest extent permitted by law, Valura shall not be liable for:

• indirect or consequential losses;
• loss of profits;
• business interruption;
• data loss;
• reputational damage; or
• loss arising from reliance on system-generated outputs.

Our total liability relating to the Services shall not exceed the amount paid by you to Valura in the preceding twelve (12) months, unless otherwise required by law.

Nothing in these Terms excludes liability that cannot legally be excluded.

Termination

We may suspend or terminate access to the Services immediately where:

• these Terms are violated;
• misuse is detected;
• security risks arise; or
• required by law.

You may stop using the Services at any time.

Sections intended to survive termination shall remain in effect.

Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or the Services shall be subject to the jurisdiction of the courts of Nigeria unless otherwise required by applicable law.
